End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal contract between you ("You", "you", or "your") and Antinode, LLC ("ANTINODE", "we", "us", or "our"). It governs your download, installation, and use of any ANTINODE software instrument or tool (the "Software"), including but not limited to Spektra-5000, TeeJee, Triple Helix, and STRATA, in VST3, Audio Unit (AU), CLAP, and Standalone formats.

The Software is licensed, not sold. Please read this Agreement carefully before installing or using the Software. We've tried to keep it readable — but it is a binding contract.

01Acceptance of This Agreement

By downloading, installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Software. If you obtained the Software through a third-party reseller or bundle, your use is additionally subject to any terms presented at the time of purchase.

You represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the authority to enter into this Agreement. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.

02License Grant

Subject to your continued compliance with this Agreement, ANTINODE grants you a non-exclusive, non-transferable, non-sublicensable, worldwide, revocable license to install and use the Software for your own personal and commercial creative work.

Number of installations

This is a single-user license. You may install and activate the Software on up to three (3) computing devices that you own or control and that are used primarily by you (for example, your studio desktop, your laptop, and a travel machine). The license is issued to you as an individual — it is not a floating, site, or multi-user license.

If you need to move the Software to a new machine (for example, after an upgrade or hardware failure), deactivate it on the old machine first. You may reinstall as many times as needed within the three-device limit.

03Perpetual License — No Subscription

ANTINODE does not operate a subscription model. When you purchase a license, you receive a perpetual license to the version of the Software you purchased, for as long as you comply with this Agreement. The Software will not expire, time out, phone home to stay alive, or require ongoing payments to keep working.

Future major versions may be offered as paid upgrades, but you are never obligated to purchase them, and your existing version will continue to work. See Section 7 (Updates) for details.

04Permitted Use

You may:

• Use the Software to create music, sound design, and audio productions, including commercial releases, film, television, games, and paid client work.
• Use any sounds, presets, or samples generated by the Software in your own musical and audio works, royalty-free, without owing ANTINODE any further payment or attribution.
• Make a reasonable number of backup copies of the Software installer and your license file/key solely for archival and restoration purposes.
• Install the Software on up to three (3) personal machines as described in Section 2.

05Restrictions

You agree that you will not, and will not permit any third party to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or DSP of the Software, except to the extent that applicable law expressly prohibits this restriction.
• Modify, adapt, translate, or create derivative works of the Software, or merge it with other software.
• Redistribute, resell, sublicense, rent, lease, lend, or otherwise make the Software, your license key, or any activation available to any third party — including via resale marketplaces, "license transfer" sites, torrents, or file-sharing networks.
• Circumvent, disable, or tamper with any copy-protection, licensing, or authentication mechanism in the Software.
• Use the Software to develop a competing product, or in any manner that infringes the intellectual property rights of ANTINODE or any third party.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software.
• Use the Software for any unlawful purpose, or in violation of any applicable export control or sanctions laws.

06Intellectual Property & Ownership

The Software, including all code, presets, graphics, documentation, the "ANTINODE" name and logo, and all underlying technology, is owned by Antinode, LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. This Agreement grants you a license to use the Software — it does not transfer ownership of any intellectual property to you. All rights not expressly granted to you in this Agreement are reserved by ANTINODE.

07Updates & Upgrades

We may release updates, bug fixes, and improvements to the Software from time to time. Minor updates (for example, version 1.0 to 1.5) within the major version you purchased are free and covered by your perpetual license.

Major new versions (for example, moving from version 1.x to 2.0) may be offered as paid upgrades. Upgrades are entirely optional — your existing version will keep working, and we will never force an upgrade or break your install by ending support for the version you own. We are under no obligation to provide updates and may discontinue updates for any product at our discretion.

08Free & Trial Products

Free versions, trials, betas, or promotional copies of the Software may be subject to additional or reduced terms disclosed at the time of download. Unless otherwise stated, free and trial products are licensed to you under this Agreement for non-commercial evaluation, and the restrictions in Section 5 apply in full.

09Third-Party Trademarks & Technology

The Software is provided in multiple plugin formats and interoperates with technologies and trademarks owned by third parties. The following are trademarks of their respective owners, and ANTINODE is not affiliated with, endorsed by, or sponsored by any of them:

• VST3 and VST are trademarks or registered trademarks of Steinberg Media Technologies GmbH.
• AU (Audio Unit) is a trademark of Apple Inc.
• CLAP (CLever Audio Plug-in) is an open plugin format; the CLAP name and specification are maintained by their respective contributors under their own license terms.

All other product and company names referenced in the Software or its documentation are the trademarks or registered trademarks of their respective holders. Use of these names does not imply any affiliation, endorsement, or sponsorship.

10Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANTINODE, ITS OFFICERS, EMPLOYEES, PARTNERS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ANTINODE does not warrant that the Software will meet your requirements, operate uninterrupted or error-free, be compatible with all present or future hardware, DAWs, or operating systems, or that all defects will be corrected. You assume the entire risk as to the quality and performance of the Software, and you are solely responsible for backing up your data and projects.

Some jurisdictions do not allow the exclusion of or limitation on implied warranties or statutory consumer rights, so the above exclusions may not apply to you to the extent prohibited by law. This Agreement does not affect any non-excludable rights you may have under mandatory consumer-protection law in your country.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANTINODE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ANTINODE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ANTINODE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE, OR (B) USD $50.00. Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

12Term & Termination

This Agreement is effective from the moment you install or use the Software and continues for the life of your perpetual license unless terminated. Your license terminates automatically, without notice from ANTINODE, if you breach any term of this Agreement.

Upon termination, you must immediately cease all use of the Software, uninstall it from all devices, and destroy all copies in your possession or control. Sections regarding ownership, restrictions, warranty disclaimer, and liability will survive termination.

13Governing Law & Disputes

This Agreement is governed by and construed in accordance with the laws of [Insert governing jurisdiction — e.g., the State of Delaware, United States], without regard to its conflict-of-laws principles. You and ANTINODE submit to the exclusive jurisdiction of the courts located in [Insert city/county, state] for any dispute arising out of or relating to this Agreement or the Software, except that ANTINODE may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

Nothing in this Agreement affects any mandatory statutory rights you may have as a consumer in your country of residence, including rights that cannot be waived by contract.

14Changes to This Agreement

We may update this Agreement from time to time. When we do, we will revise the "Last updated" date at the top of this page. Changes will apply to your continued use of the Software after they take effect. The version that applied at the time of your purchase governs that purchase; material changes will be communicated via our website or, where appropriate, by email to existing customers.
